1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and AI Certifications NZ ("Company", "we", "our", or "us") concerning your access to and use of our AI certification training services and website.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

2. Services Description

AI Certifications NZ provides professional AI certification training services for New Zealand companies and organisations. Our services include:

• Remote AI training courses and workshops
• Professional certification programs
• Educational materials and resources
• Assessment and certification issuance
• Ongoing support and updates

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts under New Zealand law to use our services. By using our services, you represent and warrant that you meet these eligibility requirements.

4. Account Registration and Security

4.1 Account Creation

To access certain features of our services, you may need to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4.2 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that we deem inappropriate or harmful to our services or other users.

5. Payment and Fees

5.1 Pricing

All fees are quoted in New Zealand Dollars (NZD) and are inclusive of GST unless otherwise stated. We reserve the right to change our pricing at any time, but changes will not affect existing bookings or contracts.

5.2 Payment Terms

Payment is required at the time of booking unless alternative arrangements have been agreed in writing. We accept payment via:

• Credit or debit card
• Bank transfer
• Invoice (for approved corporate clients)

5.3 Refund Policy

Refunds are subject to our refund policy, which will be provided at the time of purchase. Generally, refunds may be available if cancellation occurs at least 14 days before the scheduled training date, subject to an administration fee.

6. Training and Certification

6.1 Training Requirements

Participants must:

• Attend all required training sessions
• Complete assessments and assignments
• Meet minimum performance standards
• Have access to required technology and internet connection

6.2 Certification

Certifications are awarded upon successful completion of training requirements and assessments. Certifications may have validity periods and require renewal. We reserve the right to revoke certifications obtained through fraudulent means.

6.3 Rescheduling

We will make reasonable efforts to accommodate rescheduling requests made at least 7 days prior to the scheduled training date. Rescheduling fees may apply.

7. Intellectual Property Rights

7.1 Our Content

All content, materials, and intellectual property provided through our services, including but not limited to training materials, videos, documents, and software, are owned by or licensed to AI Certifications NZ and are protected by New Zealand and international copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our training materials for personal or internal business purposes only. You may not:

• Reproduce, distribute, or publicly display our materials
• Modify or create derivative works
• Use materials for commercial training purposes
• Remove copyright or proprietary notices
• Share login credentials or course access with unauthorized persons

8. User Conduct and Obligations

You agree not to:

• Use our services for any unlawful purpose
• Interfere with or disrupt our services or servers
• Attempt to gain unauthorized access to our systems
• Upload or transmit malicious code, viruses, or harmful content
• Harass, abuse, or harm other users or instructors
• Engage in any fraudulent or deceptive practices
• Violate any applicable New Zealand laws or regulations

9. Privacy and Data Protection

Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information in compliance with the Privacy Act 2020. Please review our Privacy Policy for detailed information.

10. Disclaimers and Limitations

10.1 Service Availability

While we strive to provide uninterrupted services, we do not guarantee that our services will be available at all times or free from errors. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.

10.2 No Warranty

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, to the extent permitted by New Zealand law. We do not warrant that our training will result in specific outcomes or employment opportunities.

10.3 Limitation of Liability

To the maximum extent permitted by New Zealand law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount paid by you for the services in question.

11. Consumer Guarantees Act 1993

Nothing in these Terms excludes, restricts, or modifies any consumer rights under the Consumer Guarantees Act 1993 or any other applicable New Zealand consumer protection legislation that cannot be excluded, restricted, or modified by agreement.

12. Indemnification

You agree to indemnify, defend, and hold harmless AI Certifications NZ and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses arising from your violation of these Terms or your use of our services.

13. Force Majeure

We shall not be liable for any failure to perform our obligations under these Terms where such failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, telecommunications failures, or government actions.

14. Dispute Resolution

14.1 Good Faith Negotiation

In the event of any dispute arising from these Terms, the parties agree to first attempt to resolve the matter through good faith negotiation.

14.2 Mediation

If negotiation is unsuccessful, the parties agree to participate in mediation before pursuing legal action.

14.3 Governing Law

These Terms are governed by and construed in accordance with the laws of New Zealand. Any legal proceedings shall be brought exclusively in the courts of New Zealand.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable under New Zealand law, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and AI Certifications NZ regarding your use of our services and supersede all prior agreements and understandings.
